Company Incorporation in Sierra Leone.

What we provide, what you get, and how it works

1. What we provide

As part of our company incorporation package, we facilitate the establishment of a company in Sierra Leone and provide the local support required for its initial operation.

This includes:

  • Company incorporation and registration, with a corporate bank account.
  • Nominee director and shareholder services for the first year, where required.
  • A registered business address.
  • Assistance with the necessary registration documentation and formalities.

2. What you get

You receive a registered Sierra Leone company, supported by local nominee arrangements and a registered business address, with one corporate bank account.

Where nominees are required, two of the four persons in the company structure must be locally resident in Sierra Leone. Our nominee services help facilitate this requirement, subject to the signature of an indemnity agreement, and the provision of insurance.

Nominees act in their agreed legal capacity and do not acquire beneficial ownership of your business simply by acting as nominees.

3. How it works

Step 1 - Incorporation

You provide the required information and documentation for the proposed company. We coordinate the incorporation process and arrange the necessary nominee services.

Step 2 - First-year support

Nominee services are provided for the first year as part of the incorporation package.

Step 3 - Second-year commitment

As part of the incorporation arrangement via our program, you must pay the second year's fees in advance. This covers:

  • The registered business address.
  • Nominee director and shareholder services, where required.
  • The associated annual support arrangements.

The second-year fee is USD 2,500 and must be paid before incorporation. It forms part of the company's incorporation and is paid with your fees during the escrow arrangements. Should you have your own locally-based nominees please advise us. Using your own nominees would need to be stipulated from Year 1 of incorporation.

Step 4 - Annual renewal thereafter

From the third year onwards, the annual fee for the registered address and nominee services is USD 2,500 per year, payable in advance to maintain these services.

Renewal arrangements, while not obligatory, should be confirmed before each annual period to ensure continuity, and ongoing compliance.

4. Important requirements

To protect both the business owner and the local nominees:

  • The beneficial owner must provide accurate information about the company, its ownership and its intended activities.
  • An indemnity agreement must be signed to protect the nominees against qualifying liabilities arising from the company's business, subject to applicable law.
  • Appropriate insurance will also be required, with the specific cover and cost to be confirmed.

5. Your responsibilities

You remain responsible for the company's business activities, decisions, financial obligations and ongoing compliance requirements. Nominee services and a registered address do not transfer these responsibilities to the service provider or the nominees.

Any additional services, statutory fees, licences, tax obligations or compliance requirements not expressly included in the incorporation package will be identified separately.

In summary: We facilitate the incorporation of your Sierra Leone company, provide first-year nominee services, and arrange the local nominee and registered-address support required for the second year. The second-year fee of USD 2,500 is payable in advance, with the same annual fee applying from year three onwards. Indemnity documentation is mandatory, and insurance requirements remain subject to confirmation.
